1. Introduction

Welcome to INFINN (“Platform”), owned and operated by HKKR Finserv Private Ltd (“Company,” “we,” “us,” or “our”). By accessing or using our website, www.infinn.in (“Website”), you agree to comply with and be bound by these Terms and Conditions (“Agreement”). If you do not agree to these terms, please do not use our services.
We reserve the right to update or modify this Agreement at any time. Any changes will be communicated through email notifications or announcements on our website. Continued use of our services following any modifications constitutes acceptance of the revised terms.

2. Services Provided

INFINN offers financial services and products, subject to applicable laws and regulations. All transactions and engagements through our platform are subject to the Company’s approval. The Company reserves the right to refuse, limit, or cancel any transaction at its discretion, including but not limited to cases of non-compliance with regulatory requirements, risk management policies, or suspected fraudulent activity.

3. Disclaimer

The Client acknowledges that all financial and investment decisions are made at their own discretion. This extends to all decisions made by the Client on the basis of any information that may be available on the Platform. The Client understands that HKKR Finserv Private Ltd. is merely a facilitator providing access to its Clients to participate in the financial and commodity markets, and that HKKR Finserv Private Ltd does not seek to influence or otherwise affect the decision-making process of its Clients in any way whatsoever.
The Client agrees not to hold HKKR Finserv Private Ltd, its officers, employees, or affiliates liable for any damages resulting from their investment or trading decisions.
The Client is encouraged to seek independent professional advice regarding the suitability of any investment decisions. The Client acknowledges that employees and representatives of HKKR Finserv Private Ltd are not authorized to provide investment advice and should not be relied upon for such guidance. Any opinions or recommendations inadvertently given by an employee or representative shall be considered personal views and not official advice from the Company, which disclaims any liability arising from such instances.

4. Account Registration

To access online trading services on the Platform, the Client must first complete HKKR Finserv Private Ltd registration process, as prescribed from time to time. Registration requires following the procedure outlined on the Platform, along with any additional instructions provided by HKKR Finserv Private Ltd employees or representatives. The account will be opened only upon submission and verification of the required documents, subject to HKKR Finserv Private Ltd sole discretion.
Online account opening using Aadhaar is available exclusively for Indian residents opening individual accounts, provided their mobile number is linked to Aadhaar. This option is not available for non-residents or for non-individual accounts, including HUFs, companies, LLPs, and partnerships.
The Company reserves the right to accept or reject any registration at its discretion.
Clients are responsible for maintaining the security of their account credentials and shall notify the Company immediately of any unauthorized access.

5. Account Security

Clients are provided unique login credentials and must ensure the confidentiality of these details. HKKR Finserv Private Ltd. shall also provide the Client with login credentials to its back-office, providing the client access to various reports and statements. The use, reset, and modification of these credentials shall be governed by these Terms, along with any other relevant guidelines or information provided on the Platform.
You may reset passwords at any point in time by selecting the ‘Forgot User ID or Password’ link under the ‘Login’ tab of the Website or the Infinn app. A reset link is immediately sent to your registered email ID upon this link being selected. A new unique password is required to be created for you to gain access to your trading account on the Platform.
The Client acknowledges that they are responsible for maintaining the security and confidentiality of their Client ID and password. They shall be solely liable for all orders placed and transactions executed on the Platform using their login credentials, regardless of whether the individual carrying out the transaction was authorized to do so. HKKR Finserv Private Ltd. assumes no liability for any consequences arising from unauthorized access to a Client’s password or two-factor authentication (2FA) credentials.
The Client acknowledges that they are fully aware of and understand the risks associated with online trading services, including the risk of misuse and unauthorised access to their Client ID, password or login credentials by third parties. The Client also acknowledges the risk of third parties hacking into their Client ID on HKKR Finserv Private Ltd platform and unauthorisedly routing orders on behalf of the Client through the System.
Without prejudice to the provisions above, Clients agree to immediately notify HKKR Finserv Private Ltd. in writing if they suspect or become aware of any unauthorized use of their Client ID, password, or 2FA credentials. They must also report any discrepancies that may result from such unauthorized access or any security flaws identified in the company’s online trading system available on the Platform (“Online Trading System”). Clients shall provide complete details of such unauthorized use, including the date, manner of occurrence, and transactions executed as a result. Additionally, Clients agree to inform HKKR Finserv Private Ltd. immediately if they are unable to retrieve their password or 2FA login credentials, even after attempting the ‘Forgot Password’ reset procedure.

6. Modification of Details

The Client declares that the information provided for modification is true and accurate to the best of their knowledge.
The Client undertakes to promptly inform HKKR Finserv Private Ltd. of any discrepancies, changes, or inaccuracies they become aware of.
The Client understands and accepts that if any information provided for modifying bank account details is incorrect or misleading, they shall be held liable for all resulting consequences or actions taken.
The Client agrees that this modification will apply to both their Trading and Demat accounts held with HKKR Finserv Private Ltd.

7. Fees and Charges

The Client agrees to pay HKKR Finserv Private Ltd. all applicable charges, including brokerage fees, transaction charges, commissions, service fees, Goods and Services Tax (GST), and any other taxes or levies, regardless of their designation. These charges shall be as communicated to the Client by HKKR Finserv Private Ltd in writing from time to time. HKKR Finserv Private Ltd reserves the right to deduct such charges directly from the Client’s trading account or ledger in exchange for the services provided.
Clients agree to pay all applicable fees, commissions, and charges associated with their use of our services. Details of fees are available on our website.
The Company reserves the right to modify charges from time to time. Any changes to these charges, along with their effective date, shall be communicated to the Client through official notifications.

8. Order Execution and Trade Confirmation

The Client agrees that all orders placed through HKKR Finserv Private Limited’s Online Trading System shall be directly forwarded to the respective Exchange for execution. Orders placed through any other means shall be forwarded to the Exchange terminals or another order execution mechanism at the sole discretion of HKKR Finserv Private Limited. If an order is placed during market hours, it shall be routed to and executed on the Exchange’s market system.
Upon execution of an order at the Exchange, HKKR Finserv Private Limited shall send the Client an electronic contract note as confirmation via email. This contract note will be sent within 24 hours of the trade, subject to receiving the necessary files from the Exchange. This shall be considered valid delivery of the contract note by HKKR Finserv Private Limited. The Client is responsible for reviewing all such confirmations immediately upon receipt and must follow up with HKKR Finserv Private Limited if the confirmation is not received within the stipulated time.
The Client must immediately notify HKKR Finserv Private Limited of any errors in trade execution reports, statements, or contract notes. These errors may include but are not limited to, incorrect execution prices, discrepancies in securities (scrips), or quantity mismatches. Any such discrepancies must be reported in writing via email within 24 hours of receipt of the erroneous report, statement, or contract note. HKKR Finserv Private Limited reserves the right to accept or reject such objections at its discretion.
The Client acknowledges that there may be a delay in receiving transaction status reports or statements from the respective Exchanges. HKKR Finserv Private Ltd may forward such delayed reports or statements to the Client once they become available. The Client agrees not to hold HKKR Finserv Private Ltd liable for any losses arising due to such delays or for any errors originating from the Exchange in such reports or statements.
The Client understands and acknowledges that the electronic trading systems of both the Exchange and HKKR Finserv Private Ltd are subject to temporary disruptions, breakdowns, or failures. If such an event occurs due to a system malfunction or network disconnection, HKKR Finserv Private Ltd reserves the right to cancel any or all of the Client’s orders or transactions. In some cases, order cancellations may not be possible, and the Client may be unable to place, modify, or cancel orders on the Platform. HKKR Finserv Private Ltd shall not be liable for any losses incurred by the Client due to such technical disruptions.
The Client agrees that if the market closes before an order is accepted by the Exchange, the order may be rejected. Additionally, the Client acknowledges that orders may be rejected if they are declined by the Exchange for any reason. In such cases, the rejected order shall not be reprocessed and shall be considered lapsed.
HKKR Finserv Private Ltd reserves the right to reject any order placed on the Platform at its sole discretion. Orders may be rejected due to various reasons, including but not limited to:
          Insufficient funds in the Client’s trading account,
          Non-availability of securities in the Client’s Demat account,
          Insufficient margin for margin trading,
          Suspension of trading in a particular security by the Exchange,
          Application of circuit breakers on a security in which orders are placed.
HKKR Finserv Private Ltd shall not be responsible for non-receipt of trade confirmation communications due to changes in the Client’s contact details that were not updated in writing. The Client is responsible for reviewing all trade confirmations, contract notes, invoices, and statements of account immediately upon receipt. If no objections are raised in writing within 24 hours of receipt, all such communications shall be deemed correct and accepted by the Client.

9. Client Account Termination and Suspension

HKKR Finserv Private Ltd reserves the right to suspend or terminate the Client’s access to its services under circumstances including, but not limited to, violations of applicable laws, breaches of these Terms, non-compliance with regulatory requirements, or any other reason deemed necessary. Such suspension or termination may restrict the Client from accessing some or all features of the Platform
In the event of service suspension or termination, regardless of the reason, the Client’s right to use the services shall cease immediately. HKKR Finserv Private Ltd shall not be held liable to the Client or any third party for any claims, losses, or damages resulting from the suspension or termination of services, or any other actions taken in connection with such suspension or termination.
The right of HKKR Finserv Private Ltd to suspend or terminate the Client’s account is in addition to any other remedies or obligations prescribed under applicable laws. If the Client has any grievances regarding the suspension or termination, they may submit a written complaint to HKKR Finserv Private Ltd in accordance with the grievance redressal policy outlined in these Terms, along with supporting documentation or evidence. HKKR Finserv Private Ltd shall review and address the grievance in compliance with applicable legal and regulatory provisions. The decision of HKKR Finserv Private Ltd regarding the reinstatement of services shall be final and binding.

10. Indemnification

Clients agree to indemnify and hold harmless HKKR Finserv Private Ltd, its directors, officers, employees, and affiliates against any claims, losses, or damages arising from their use of the Platform.
In the event of insolvency, liquidation, or death of a Client, the Company reserves the right to close out all transactions and recover any outstanding dues.

11.Dispute Resolution

In case of any disputes, the parties shall attempt to resolve them amicably within 30 days.
If disputes remain unresolved, they shall be referred to arbitration under the Indian Arbitration and Conciliation Act, 1996, with proceedings conducted at the Delhi Centre for International Arbitration.
The courts in Haryana, India, shall have exclusive jurisdiction over all legal matters related to this Agreement.

Governing Law

This Agreement shall be governed and construed in accordance with the laws of India.
By using our services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. We recommend that you review these Terms periodically to stay informed about any updates or changes.
